Terms of Service

1. Acceptance of Terms

By accessing or using Assist Pro (operated by Drift Sphere), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use the service. These terms apply to all visitors, users, and others who access the service.

2. User Accounts

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use at driftsphere43@gmail.com. We reserve the right to terminate accounts that violate these terms.

3. Subscription Plans & Billing

Assist Pro offers the following subscription plans, billed via Paddle (our Merchant of Record):

Subscriptions renew automatically at the end of each billing period. You may cancel at any time from your account settings. Annual plans are billed upfront.

4. Free Trial

New subscriptions include a 14-day free trial. No charge is made during the trial period. If you do not cancel before the trial ends, you will be charged for your selected plan. We offer a 14-day refund for any new subscription if you are not satisfied. After 14 days, we do not provide refunds for partial subscription periods.

5. Acceptable Use of AI Features

Assist Pro provides AI-powered tools including a conversational assistant, voice interface, autonomous browser agent, email/calendar automation, CRM integrations, and a Digital Twin style-learning engine. By using these features, you agree to:

• Not use AI features to generate spam, phishing content, or misleading communications
• Not use the browser agent to bypass paywalls, scrape data in violation of third-party ToS, or perform illegal activities
• Review any AI-generated content before sending to third parties, particularly for legal, financial, or medical matters
• Not attempt to circumvent subscription limits, API rate limits, or plan-based feature gates
• Comply with the terms of service of all connected third-party platforms (Google, Slack, HubSpot, etc.)

6. Third-Party Integrations

Assist Pro connects to third-party services on your behalf. By authorizing any integration, you grant Assist Pro permission to perform the actions you request via that service. You remain solely responsible for any actions taken through connected accounts. Assist Pro is not responsible for decisions made by third-party services or changes to their APIs.

7. AI Accuracy Disclaimer

Assist Pro uses artificial intelligence that may sometimes produce inaccurate, incomplete, or outdated information. The service is provided as a productivity tool and does not constitute professional legal, financial, medical, or business advice. You are solely responsible for reviewing and approving any AI-generated action before execution, particularly those marked as requiring approval.

8. Intellectual Property

The Assist Pro service, including its interface, codebase, AI prompt logic, branding, and Digital Twin technology, is the exclusive property of Drift Sphere. You retain ownership of the content you create or input. You grant us a limited license to process your content for the purpose of providing the service.

9. Limitation of Liability

To the fullest extent permitted by law, Drift Sphere shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted access to the service. We may modify, suspend, or discontinue any feature at any time, with notice where reasonably possible. We are not liable for any downtime caused by third-party providers (Vercel, Supabase, AI APIs, etc.).

11. Termination

You may terminate your account at any time from your settings. We reserve the right to suspend or terminate your account for violations of these Terms without prior notice. Upon termination, your data will be deleted in accordance with our Privacy Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the courts of the jurisdiction where Drift Sphere operates.
